BY ACCESSING, VIEWING, OR USING THE WEBSITES OR SERVICES DESCRIBED BELOW, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE WITH THESE TERMS AND CONDITIONS AND THIS AGREEMENT. Terms and Conditions of Service
This Online Terms and Conditions of Service agreement (“Terms and Conditions”) and the Privacy Policy constitute a license that governs your use of the 4 Cerebrum Careers, LLC (“4 Cerebrum Careers” “4CC”, “we”, “us” or “our”) websites (collectively referred to as the “Websites”) and/or other services offered by 4 Cerebrum Careers (collectively referred to as the “Services”) and any transactions that you (or any company you are acting on behalf of (either “User”, “you” or “your”) engage in through the Websites and the Services and represent an agreement (the “Agreement”) between you and 4 Cerebrum Careers governing your use of our Websites and Services and 4CC’s Career Centers. This Agreement constitutes the entire agreement between 4CC and you with respect to these Terms and Conditions, the Privacy Policy and the Websites and Services, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and 4CC with respect to the Websites and Services.
If for any reason a court of competent jurisdiction finds any provision of this Agreement or any portion of it to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of this Agreement, and the remainder of this Agreement shall continue in full force and effect. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
Read these Terms and Conditions carefully. You are agreeing to be contractually bound by all terms and conditions set forth herein. If you do not agree with any of the terms and conditions stated in these Terms and Conditions, do not use this these Websites or the Services. The act of accessing or using the Websites or Services signifies your consent to these Terms and Conditions and the Agreement without limitation or qualification. It is your responsibility to return to these Terms and the Agreement from time to time to review the most current terms and conditions. 4CC does not and will not assume any obligation to notify you of changes to this Agreement. If you do not agree to these Terms and the Agreement, you should not use the Websites or the Services. 4CC reserves the right to modify these Terms, the Agreement and the contents of the Websites and the Services, including the features, availability, or operation, at any time in our sole and absolute discretion.
You affirm that you are of legal age, can form legally binding agreements under applicable law, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions and the Agreement, and to qualify under, abide by, and comply with these Terms and Conditions and the Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Websites and Services. You acknowledge that this Agreement is a contract between you and 4CC, even though it is electronic and is not physically signed by you, and it governs your use of the Websites and Services. You are also providing your express consent to our Privacy Policy as part of this Agreement.
Electronic Communications and Electronic Signatures
You agree to be bound by any affirmation, assent, or agreement you transmit through the Websites, including but not limited to any consent you give to receive communications from 4CC solely through electronic transmission. You agree that when in the future you click on an “I agree,” “I consent,” or other similarly worded “button” or entry field with your mouse, keystroke, or other computer device, your agreement or consent will be legally binding and enforceable and the legal equivalent of your handwritten signature.
Postings/Submissions
The Websites make no guarantees as to the level of success a User may achieve by using the Websites nor the Services. Certain third party partners may make such performance guarantees but 4CC does not investigate or guarantee the veracity of these claims. You shall not be entitled to any refund, rebate or other remedy for usage that you determine to be unsuccessful.
4 Cerebrum Careers makes no guarantee that your posting(s) will be accessible for the entire term of any listing and 4 Cerebrum Careers provides you with the option to allow your posting to be syndicated to external job boards if you choose to do so. Any posting sent to LinkedIn will occur at zero cost and only as part of a larger syndicated distribution add-on or product bundle with other explicitly identified destination sites or job boards. Any fee paid associated with the purchased add-on or product bundle is attributed exclusively to the other distribution sites in that add-on or product bundle. Computer outages, software failure and other technical and non-technical issues may cause temporary outages that 4 Cerebrum Careers cannot be held liable for.
No party may upload any offensive or hurtful items or hyperlinks to offensive or hurtful materials. Additionally, no items may be uploaded that are designed to damage the systems (ex. Viruses, Trojan horses, worms, time bombs, etc.) or designed to crack the system or extract protected data.
Security
You may not access, collect, record, alter or interfere with account data that does not belong to You. Any attempts, or successes at violating another user’s data or privacy shall result in breach of these Terms and Conditions and may result in criminal or civil proceedings. In addition, You agree to indemnify and hold 4CC and its affiliates, directors, officers, employees, agents, suppliers, partners and licensors, harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to such activities.
Specific Prohibited Uses
This site or its services may not be used for any illegal or unlawful purposes. 4 Cerebrum Careers reserves the right to terminate usage by any party that 4 Cerebrum Careers deems, in its sole and absolute discretion to be questionable.
No party may enter data that it knows or strongly suspects to be inaccurate, incomplete or false.
No party may enter data that does not belong to them. You may not enter data for another user. This shall include, but not be limited to, the listing of job opportunities. You may not post job openings that are not for your company. The only exception to this is if you represent an ad agency, recruitment firm, or another third party recruitment service and the written permission of such company to post on a company’s behalf.
No party may maintain an excessive amount of data, as determined by 4 Cerebrum Careers, in its sole and absolute discretion, on 4 Cerebrum Careers servers or upload anything that may cause excessive strain on 4 Cerebrum Careers systems and networks.
No party may use the services available on the Career Center for any purpose other than their intended uses. This shall include, but not be limited to, the practice of posting openings that do not specifically exist for the purpose of collecting resumes or other data from our users. This practice is explicitly restricted and may result in cancellation of your posting and removal of your usage rights and any other legal remedy available to 4CC.
No party may use our services with the intent of hurting, damaging, destroying, or otherwise infringing on the stability and usefulness of 4 Cerebrum Careers’ services.
No party may distribute what 4 Cerebrum Careers defines as protected materials to any third party. This may include contact data, passwords, discounts, etc. This includes the sharing of protected data with other site users. No party may utilize data from the Websites in an attempt to bypass any Web site’s security and extract protected data from outside sources.
4 Cerebrum Careers reserves the right to alter, edit, or remove any data posted.
No party may aggregate, package, spider, collect, or display any of the content on this site without the express written consent of 4 Cerebrum Careers.
You must be at least 18 years of age to use the Websites and Services. By using the Websites and Services and by agreeing to this Agreement, you warrant and represent that you are at least 18 years of age. If you create an account in the Websites, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of these Terms and Conditions or the Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.
Billing and Payments
You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Where Services are offered on a free trial basis, payment may be required after the free trial period ends, and not when you enter your billing details (which may be required prior to the commencement of the free trial period). If auto-renewal is enabled for the Services you have subscribed for, you will be charged automatically in accordance with the term you selected. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
Copyrights and Trademarks
This 4 Cerebrum Careers Website is copyrighted as a collective work, and individual works appearing on or accessible through this Career Center are likewise subject to copyright protection. You agree to honor the copyrights in the Websites (including the selection, coordination and arrangement of the contents of this site) and in the works available on or through the Websites. You may download and maintain single copies of designated materials for your personal use only or as directed in any separate partnership/affiliate agreement with 4 Cerebrum Careers.
In addition, trademarks and trade dress belonging to 4 Cerebrum Careers or to others appear on or are accessible through the Career Center. The fact that 4 Cerebrum Careers has permitted you access to this Career Center does not constitute authorization to reproduce 4 Cerebrum Careers or any other trademarks or trade dress for any other purpose.

Any damage you incur by your reliance upon this information is not the responsibility of 4 Cerebrum Careers or its affiliates or partners. By using this Career Center, you assume all responsibility for and risk arising from your use of and reliance upon the contents of this Career Center.

Limitation of Liability
4 Cerebrum Careers LLC’s liability for all claims arising from your use of the site and its contents is limited to $125.
Dispute Resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Illinois, United States without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United States. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Illinois, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. In addition, you and 4CC agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. Unless you or 4CC agree, no judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Termination of Career Center and Career Center Access
We reserve the right to modify this Agreement or its terms relating to the Websites and Services at any time, effective upon posting of an updated version of this Agreement in the Websites or any of the Sites. When we do, we will revise the updated date at the top of this page. Continued use of the Websites and Services after any such changes shall constitute your consent to such changes.
4 Cerebrum Careers reserves the right to change the contents of any of its Websites or Services or to discontinue same, as well as the right to deny access to the Websites or Services to any person whom 4 Cerebrum Careers has reasonable grounds to believe may be using the Career Center for an unlawful or unauthorized purpose or in a manner that may harm 4 Cerebrum Careers or any other third party.
